On October 1, 2021, Regions Bank, the principal banking subsidiary of Regions Financial Corporation, completed its previously announced acquisition of EnerBank USA, a corporation organized and existing under the laws of the State of Utah.
A copy of the press release announcing the completion of the acquisition is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. The information contained in this Item 7.01 and Exhibit 99.1 is being furnished, and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities under Section 18 of the Exchange Act.
